The Ministry of Corporate Affairs has moved the entire process online through the SPICe+ form, so paperwork no longer means queues at a government counter. What replaced the queue, though, is a set of technical requirements: name availability under trade mark law, correctly drafted objects in the memorandum, matching addresses across utility bills and rent agreements, and digital signatures registered against the right PAN. DSC + DIN

Digital signatures and director IDs

Video verification is completed for each director and a class three digital signature is issued. Director Identification Numbers are applied for within the incorporation form, so no separate waiting period applies.

Stage 03
SPICe+ Part A

Name reservation

We screen your shortlist against existing company names and registered trade marks, then reserve the strongest option. A reserved name stays blocked for twenty days, which gives us a clear runway for the main filing.

INC-33 / INC-34

Charter documents drafted

The electronic memorandum records your business objects and the articles set out how decisions get made between shareholders. Both are drafted to fit your plan rather than copied from a template.

SPICe+ Part B

Incorporation and linked registrations

The main application goes to the Central Registration Centre bundled with the AGILE-PRO-S form, which carries GST, EPFO, ESIC and bank account requests in the same submission. Queries raised by the Registrar are answered by us directly.

Certificate

Certificate of Incorporation and handover

Your certificate arrives with the Corporate Identification Number, PAN and TAN printed on it. We hand over the full document set and walk your team through the compliance calendar for the coming year.

What decides how long registration takes and what it costs

Turnaround

Most incorporations complete in seven to fifteen working days from the date documents are received in full. Name approval usually clears within two to three days, and the incorporation form is processed after the Registrar reviews the charter documents. Delays almost always trace back to an expired address proof or a director whose Aadhaar is not linked to an active mobile number.

Government fees

Statutory charges depend on the state of registration and the authorised capital you declare. Stamp duty on the memorandum and articles varies widely between states, so a company registered in Karnataka pays a different amount from one registered in Madhya Pradesh. We share a written breakup before filing, with no charges added later.

Professional fees

Our fee covers advisory, drafting, filing and follow up until the certificate is issued. Resubmissions caused by a Registrar query are handled at no extra cost. Optional add ons such as trade mark filing or Startup India recognition are quoted separately.

Incorporation opens a compliance calendar. We keep it running.

A new company carries obligations from day one, and penalties for missing them are levied per day of default. The first auditor has to be appointed by the board within thirty days. Subscription money must be deposited in the company bank account, and a declaration of commencement of business filed within one hundred and eighty days before any borrowing or trading begins.

From there the rhythm settles into board meetings, annual financial statements, an annual return, director KYC every September and income tax filing each year. Company registration, answered plainly

How much capital do I need to register a company?
No minimum paid up capital is prescribed for a private limited company or an LLP. Many founders start with one lakh rupees of authorised capital and increase it later when investment arrives. Choosing a realistic figure matters because stamp duty and future fees are calculated on the authorised amount.
Can I use my home address as the registered office?
Yes. A residential address is accepted as long as you can produce a recent utility bill and a no objection letter from the owner of the premises. The address can be shifted later by filing the prescribed form with the Registrar, and our team handles the change when you move to an office.
Do all directors need to be Indian residents?
At least one director must have stayed in India for one hundred and eighty two days or more during the previous financial year. Foreign nationals and non resident Indians can hold shares and act as directors, subject to notarised documents and applicable foreign investment reporting.
What happens if the name I want is rejected?
Two options can be submitted in a single name application, and one resubmission is permitted. Rejection usually follows from similarity with an existing company or a registered trade mark. We run a conflict check before filing, which is why most of our applications clear on the first attempt.
Is GST registration compulsory right after incorporation?
GST becomes mandatory once turnover crosses the threshold for your state and category, or immediately for interstate supply and most ecommerce sellers. Since the application rides along with the incorporation form at no extra government fee, taking the number upfront saves a separate filing later.
Can an LLP or a proprietorship be converted into a private limited company?
Yes. Conversion is a defined route under the Companies Act and is common when a business starts raising external capital. Assets, contracts and licences need to be transferred carefully, and tax consequences differ by structure, so we map the sequence before any filing begins.
